By accessing/using the Varselor Platform and/or Varselor Services, you agree to these conditions. Some of these conditions expressly limit Varselor's liability. Please read them carefully.

Varselor and the Varselor Platform

Please read the following terms and conditions carefully before registering on, accessing, browsing, downloading or loginig in to the Varselor website located at www.varselor.com, and all associated sites, if any from time to time, linked to www.varselor.com, or the Varselor mobile site and/or application or any similar platform (hereinafter collectively, Varselor Platform) on any device and/or before availing any services offered by or through Varselor on the Varselor Platform which may include services such as Softwate Recomendadtion, product sales, project management, application effectiveness Audit, failed implementation receovery, providing market intelligence, Freelancingwork and marketplace service or any other service that may be offered by or through Varselor on the Varselor Platform (hereinafter individually, a Varselor Service, and collectively, the Varselor Services).

VarselorĀ is run by La Maison General Trading LLC, a limited liability company established in the Emirate of Dubai in the United Arab Emirates, with license number 763895 and having its principal place of business at Suite 508, Churchill Executive Tower, Business Bay, Dubai, United Arab Emirates and/or any of its affiliates (hereinafter collectively, Varselor).

Acceptance1

By registering on, accessing, browsing, downloading or logingin to the Varselor Platform for any general purpose or for the specific purpose of availing any Varselor Service, you agree to be legally bound by the terms and conditions set forth herein as well as all applicable terms, policies and operating procedures that may from time to time be published on the Varselor Platform, which are incorporated herein by this reference (hereinafter collectively, the T&Cs). Varselor reserves the right, to change, modify, add, or remove portions of the T&Cs. Changes will be effective when posted on the Varselor Platform with no other notice provided. Please check the T&Cs regularly for updates. Your continued use of the Varselor Platform following the posting of changes to these T&Cs constitutes your acceptance of those changes. These T&Cs shall also include any additional or modified terms and conditions in relation to any additional or modified service-specific terms and conditions in relation to any Varselor Service or any future service that may be offered by or through Varselor on the Varselor Platform.

By registering on, accessing, browsing, downloading or loging in (as applicable) the Varselor Platform or availing any Varselor Service, you automatically and immediately agree to all the T&Cs. Accepting or agreeing to the T&Cs will constitute a legal contract (hereinafter, the Agreement) between you, being a person with full legal capacity, authority and ability to contract, and Varselor.

If at any time you do not accept or agree with any of the T&Cs or do not wish to be bound by the T&Cs, you should not access, browse or logingin the Varselor Platform and you should immediately terminate your availing the Varselor Services.

The Varselor Services shall be used by you subject to your adherence with the T&Cs and the Agreement. As long as you accept and comply with the T&Cs and the Agreement, Varselor grants you a personal, non-exclusive, non-transferable, limited, revocable privilege to enter and use the Varselor Platform and/or avail the Varselor Services.

Electronic Communications

When you use Varselor Services and/or Varselor Platform, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically. You consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on or through the Varselor Platform, and you can retain copies of these communications for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

By communicating with us via e-mail or by submitting any request on the Varselor Platform, you consent to receive e-mail or other electronic communications from Varselor. During the registration process you agree to receive promotional emails from the Varselor Platform. You can subsequently opt out of receiving such promotional e-mails by clicking on the link at the bottom of any promotional email.

Access

Subject to your compliance with the T&Cs and the Agreement, and your payment of any applicable fees, Varselor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use of the Varselor Platform and/or Varselor Services. This license does not include any resale or commercial use of any Varselor Service, or its contents; any collection and use of any product/software listings, descriptions, or prices; any derivative use of any Varselor Service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to you in the T&Cs and the Agreement are reserved and retained by Varseor or its licensors, suppliers, publishers, rightsholders, or other content providers. No Varselor Service, nor any part of any Varselor Service, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Varselor. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) appearing on the Varselor Platform without express written consent. You may not use any meta tags or any other "hidden text" utilizing Varselor's name or trademarks without the express written consent of Varselor. You may not misuse the Varselor Services. You may use the Varselor Platform and/or Services only as permitted by law.

Termination

Varselor may suspend access, at its discretion, to the Varselor Platform and/or suspend/terminate the provision of the Varselor Services to you if it believes that you are not respecting the T&Cs and the Agreement. The licenses granted by Varselor immediately terminate with no requirement of any further action if Varselor (acting in its sole discretion) believes that you are not respecting the T&Cs and the Agreement.

Your Account

You may need your own Varselor account to access certain parts of the Varselor Platform and/or use certain Varselor Services, and you may be required to be logged in to the account and have a valid payment method associated with it. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password. Varselor reserves the right to refuse service, terminate accounts, terminate your rights to use Varselor Services, remove or edit content, or cancel orders in its sole discretion.

Reviews, Comments, Communications, and Other Content

You may post reviews, comments, photos, videos, and other content; send e-cards and other communications; and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam" or unsolicited commercial electronic messages. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content. Varselor reserves the right (but not the obligation) to remove or edit such content, but does not regularly review posted content.

If you do post content or submit material, and unless we indicate otherwise, you grant Varselor a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant Varselor and sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Varselor for all claims resulting from content you supply. Varselor has the right but not the obligation to monitor and edit or remove any activity or content. Varselor takes no responsibility and assumes no liability for any content posted by you or any third party.

Product Descriptions

Varselor attempts to be as accurate as possible. However, Varselor does not warrant that product and/or software descriptions or other content, on the Varselor Platform, of any Varselor Service, is accurate, complete, reliable, current, or error-free. If a software and/or product and/or service offered on the Varselor Platform is not as described, your sole remedy is to return it in unused condition or in case of a service to not use/stop using the service.

The Varselor Platform may contain actual names of vendors, third parties, partners, collaborators, etc. The visibility of these names are not intended, in any way whatsoever, to represent any evaluation of such persons.

Parties other than Varselor may operate on, provide services or software, or sell product lines through the Varselor Platform. We are not responsible for examining or evaluating, and we do not warrant, the offerings of any of these businesses or individuals (including the content of their websites). Varselor does not assume any responsibility or liability for the actions, product, and content of all these and any other third parties. You should carefully review their privacy statements and other conditions of use.

Privacy

We are committed to protecting your privacy online pursuant to the terms of our Privacy Policy, the terms of which are incorporated herein by reference.

Acceptable Use

You must not use the Varselor Platform for any illegal purposes. You shall be held responsible for any activity occurring using your user identification. Hence, you must notify us as soon as you suspect that the secrecy of your user identification has been compromised. In order to access privileged areas of the Varselor Platform, you undertake to provide Varselor with accurate information.

No Advice

The information contained on the Varselor Platform, including but not limited to white papers, articles, and the content of showcases and directories, is provided for strictly informational purposes, and should not, under any circumstances, be construed as advice.

Warranties

EXCEPT AS SPECIFICALLY WARRANTED IN ANY SPECIFIC EXPRESS WRITTEN AGREEMENT BETWEEN YOU AND VARSELOR OUTSIDE OF THIS AGREEMENT, ANY INFORMATION PROVIDED ON THE VARSELOR PLATFORM, INCLUDING BUT NOT LIMITED TO WHITE PAPERS, ARTICLES, AND THE CONTENT OF SHOWCASES AND DIRECTORIES, IS PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THOSE OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE. VARSELOR MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY OR COMPLETENESS OF THE INFORMATION INCLUDING BUT NOT LIMITED TO WHITE PAPERS, ARTICLES, AND THE CONTENT OF SHOWCASES AND DIRECTORIES.

YOU UNDERSTAND THAT CERTAIN CONTENT ON THE VARSELOR PLATFORM MAY INCLUDE MATERIALS AND INFORMATION FROM THIRD PARTIES AND LINKS TO OTHER WEB SITES AND RESOURCES OVER WHICH VARSELOR HAS MINIMAL OR NO CONTROL. YOUR USE OF THOSE THIRD PARTY WEBSITES IS SUBJECT TO THEIR TERMS AND CONDITIONS AND YOU AGREE THAT VARSELOR IS NOT RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE INCURRED AS THE RESULT OF YOUR TRANSACTIONS WITH SUCH THIRD PARTIES.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

THE VARSELOR PLATFORM AND/OR VARSELOR SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE VARSELOR PLATFORM ARE PROVIDED BY VARSELOR ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED BY VARSELOR IN WRITING. VARSELOR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE VARSELOR PLATFORM AND/OR VARSELOR SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE VARSELOR PLATFORM, UNLESS OTHERWISE SPECIFIED BY VARSELOR IN WRITING. YOU EXPRESSLY AGREE THAT YOUR ACCESS OF THE VARSELOR PLATFORM AND USE OF THE VARSELOR SERVICES IS AT YOUR SOLE RISK.

TO THE FULL EXTENT PERMISSIBLE BY LAW, VARSELOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. TO THE FULL EXTENT PERMISSIBLE BY LAW, VARSELOR WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF ANY VARSELOR SERVICE, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE VARSELOR PLATFORM, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF VARSELOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS, IN WHOLE OR IN PART, HELD TO BE INAPPLICABLE OR UNENFORCEABLE FOR ANY REASON, THEN THE AGGREGATE LIABILITY OF VARSELOR, ITS PARENT COMPANY, SHAREHOLDERS, DIRECTORS, OFFICERS AND AFFILIATES FOR ANY REASON AND UPON ANY CAUSE OF ACTION (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE, STRICT LIABILITY AND OTHER ACTIONS IN CONTRACT OR TORT) ARISING OUT OF OR IN ANY WAY RELATED TO THE VARSELOR PLATFORM, VARSELOR SERVICES OR THE T&CS AND THE AGREEMENT SHALL BE LIMITED TO DIRECT DAMAGES ACTUALLY INCURRED UP TO ONE HUNDRED U.S. DOLLARS ($100).

VARSELOR EXPRESSLY DISCLAIMS LIABILITY FOR ANY AND ALL DISPUTES ARISING BETWEEN USERS OF VARSELOR PLATFORM OR VARSELOR SERVICES. BY USING THE VARSELOR PLATFORM, YOU RELEASE VARSELOR FROM ALL LIABILITY FOR CLAIMS ARISING FROM SUCH DISPUTES.

Limitation of Liability

In no event shall Varselor be liable for any incidental, consequential, special, indirect, or similar damages, even if Varselor has been informed of the possibility of such damages. The liability of Varselor, its affiliates, agents, and licensors involved in providing information through the Varselor Platform or through the provision of the Varselor Services, shall not exceed the amount you have paid to Varselor in the twelve months immediately preceding the event giving rise to such claim.

Intellectual Property

All content, information, documents, logos and images included in the Varselor Platform or made available through any Varselor Service, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software is subject to copyright and trademark laws, and is the property of Varselor or its content suppliers or any third parties whose products, software and/or services are listed on or referred to anywhere on the Varselor Platform and protected by applicable laws. Trademarks and content not owned by Varselor that appear on the Varselor Platform and/or in any Varselor Service are the property of their respective owners.

You may not modify, copy, distribute, create derivative works, or make any repetitive, unattended, or automated requests to view, download, or print, the content posted on the Varselor Platform, without our express written consent.

Intellectual property infringement claims

Varselor respects the intellectual property rights of others/third parties and will not tolerate infringing activity on the Varselor Platform. If you are a copyright owner or agent, and you believe your rights under applicable intellectual property laws are being infringed by Varselor or another person or entity using the Varselor Platform or Varselor Services, then you may submit a notification to info@varselor.com with the following information in writing:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of the work(s) that has/have been allegedly infringed;
  • Identification of works or materials being infringed, or, if multiple works are covered by a single notification, a representative list of such works;
  • Identification of specific material to be removed, which is claimed to infringe or to be subject of infringing activity, and its location;
  • Your contact information, including phone number, and, if available, an e-mail address at which you may be contacted;
  • Your good faith statement that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement that the information in your notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of the allegedly infringed copyright.
  • Company reserves the right to seek damages from any person who knowingly materially submits a notification claim under this section in violation of the law.

You may only provide links to our homepage. We do not allow any deep linking or framing of our web site without our express written permission.

Governing Law and Jurisdiction

The T&Cs and the Agreement must be interpreted in accordance with the laws of the Dubai International Financial Centre. Furthermore, in the event of litigation, all proceedings must be commenced in and shall proceed in the courts of the Dubai International Financial Centre.

Hypertext Links

The Varselor Platform may contain hypertext links to other web sites for your convenience. However, these links should not be construed as an endorsement of these web sites' content, products, or activities. Access to third party web sites from our web site is at your own risk.

Return and Refund of Digital Products Purchased

All purchases of digital products are final: We do not accept returns nor do we refund purchases of digital products. Such products include, but are not limited to:

  • RFP Templates.
  • Software Comparison Reports.
  • Decision-Support Software.
  • Once you purchase a digital product, we make it available to you to download..
  • If you are unable to do so, please contact us; we will assist you in attaining all the benefits of the digital product you purchased.

Indemnity

You agree to indemnify and hold Varselor harmless, and, at Varselor's request, to defend us from and against any third party claims, demands, causes of action, debts, losses or liabilities, including reasonable attorneys' fees, to the extent that such claim is based upon, arises out of, or relates to a violation of the T&Cs, the Agreement or applicable laws.

Waiver and severability

Varselor's failure to act with respect to a breach by you or others will not constitute a waiver and does not waive our right to act with respect to subsequent or similar breaches. If any of these T&Cs or any provision of the Agreement shall be deemed invalid, void, or for any reason unenforceable under applicable law, then that term shall be deemed severable and shall not affect the validity and enforceability of any remaining term or provision of the T&Cs and the Agreement.
